These Terms of Use & Service Engagement Terms ("Terms") govern your use of this website and any inquiry, discovery conversation, or introduction service provided by Boca Aqua Holdings LLC, doing business as AI Enterprise Tech Pros ("AI Enterprise Tech Pros", "we", "us", or "our"). By using this website, submitting our contact form, or engaging with us regarding a Solution (as defined below), you agree to these Terms. If you do not agree, please do not use this website or our services.

This website and the services offered through it are intended for use by businesses and authorized representatives acting for business purposes. If you access or use the website on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

1. Who We Are and What We Do

Boca Aqua Holdings LLC dba AI Enterprise Tech Pros identifies, designs, evaluates, and delivers technology-enabled business Solutions for our clients. We define a "Solution" as any combination of services spanning artificial intelligence (AI) and automation, cloud infrastructure and connectivity, cybersecurity, managed IT, unified communications, staff augmentation, and related technology services assembled to fit your organization's specific needs. Many Solutions combine multiple individual services from one or more of our provider partners into a single, tailored Solution, rather than a single off-the-shelf product. Our scope is intentionally broad and continues to expand as the underlying technology and vendor landscape evolves. The categories listed above are illustrative, not exhaustive.

We operate as an independent Solutions agent. We work as a sub-agent and partner with nationally and internationally recognized Technology Services Distributors (TSDs), also known as master agents or agencies, to access a broad network of vendor and service-provider partners ("Providers") on behalf of our business clients. Throughout these Terms, "Providers" refers collectively to the vendors, carriers, and service providers who ultimately design, deliver, and support the underlying services that make up a Solution. Our typical process is:

1. You contact us with a business need related to any of the service categories described above, or a combination of them;
2. We work with one or more TSDs to identify the Provider(s) whose services may fit your needs;
3. We coordinate discovery calls and proposal presentations between you and the identified Provider(s);
4. You decide, at your sole discretion, whether to proceed with any Provider and on what terms;
5. If you proceed, you contract and pay the Provider directly. We are not a party to that contract and do not bill you for this service, unless we have separately agreed with you in writing to a paid consulting engagement.

2. No Guarantee of Outcomes; Not a Licensed Broker

We are not a licensed insurance producer, real estate broker, financial advisor, or attorney, and these Terms do not create a fiduciary, advisory, or brokerage relationship of that kind. We make reasonable efforts to identify Solutions that fit your stated needs, but we do not guarantee that any particular Provider, price, service level, or outcome will be available or will meet your expectations. Any agreement you enter into with a Provider is solely between you and that Provider, governed by that Provider's own terms.

3. How We Are Compensated

Most of our services to clients are provided at no direct cost to you. We do not invoice or bill you for identifying, evaluating, or coordinating introductions to Providers, unless we have separately agreed in writing to a paid engagement.

Instead, we are usually compensated by the TSD, based on a share of the commissions the Provider pays the TSD when your organization purchases services through this channel. This compensation does not increase the price you pay the Provider. In most cases, the pricing and contract terms available through the TSD channel are more favorable than what an individual business could obtain independently, because TSDs aggregate purchasing volume across many businesses to negotiate terms that a single company typically cannot access on its own. In other words, working with us and the TSD network is designed to give your organization access to volume-based pricing and terms, at no added cost, funded by the Provider side of the transaction rather than by you.

This arrangement is standard practice across the Solutions agent channel, including among the TSDs themselves and their broader partner networks.

4. Acceptable Use of This Website

You agree not to:

• Use this website for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to our systems, probe, scan, or test the vulnerability of our website, or interfere with its normal operation;
• Submit false, misleading, or fraudulent information through our contact form;
• Use automated means (bots, scrapers) to access or interact with this website except as expressly permitted (for example, standard search engine indexing).

5. Intellectual Property

The content on this website, including text, graphics, logos, and design, is owned by or licensed to Boca Aqua Holdings LLC and is protected by applicable intellectual property laws. You may view and print content for your own personal or internal business reference, but you may not reproduce, distribute, or create derivative works from this website's content without our prior written permission.

Your interactions with any third party, including any Provider you contract with, are solely between you and that third party.

We do not warrant that this website will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Boca Aqua Holdings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of this website or our services, or from any agreement you enter into with a third-party Provider identified through our Solutions.

9. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of this website shall be brought and resolved exclusively in the state courts located in Broward County, Florida, United States, or, if federal subject-matter jurisdiction exists, the United States District Court for the Southern District of Florida, Fort Lauderdale Division. You irrevocably consent to the exclusive jurisdiction and venue of those courts and waive any objection based on improper venue or forum non conveniens.

10. Relationship to Our Privacy Policy

Our Privacy Policy describes how we collect, use, and share personal information, including information shared with TSDs and Providers as described in these Terms. Both documents apply to your use of this website and your submission of our contact form.

11. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page with an updated effective date and version number. Your continued use of this website or our services after a change becomes effective constitutes acceptance of the revised Terms.
